All foreign investors engaged in business activity on the territory of Ukraine must register in Ukraine as a legal business entity having one of the following forms:

  • joint venture;
  • wholly foreign-owned enterprise;
  • branch or subsidiary of a foreign legal entity (under Ukrainian laws, these      are not juridical persons, but have permanent residence within Ukraine);
  • representative office of a foreign legal entity.

For state registration of a joint venture, the founders of which are a foreign juridical person and a Ukrainian juridical person, the following documents must be submitted to a state registration body:

  1. Statutory documents, which include the statutory agreement and charter;
  2. A document evidencing registration dues payment;
  3. A document evidencing parents' contribution to the statutory fund of a joint       venture in the ammount indicated in Article 52 of the Law of Ukraine "On       Economic Entity";
  4. A notarized copy of the certificate of state registration of a juridical person       of Ukraine;
  5. A document evidencing the registration of a foreign juridical person in the       country of his residence (an extract from a commercial bank, court register,       etc.). The document must be authenticated under the legislation of a       residential country, be translated into Ukrainian and legalized at a       consulate institution in Ukraine (if an existing international agreement does       not preclude the formation of such a legal entity). The above document       could be authenticated at the embassy of a related country in Ukraine and       legalized at the Ministry of Foreign Affairs.

The above procedure of state registration is determined by the Laws of Ukraine "On Entrepreneurship" and the "Regulation on State Registration of Subjects of Business Activities" approved by the resolution of the Ukrainian Cabinet of Ministers on April 29, 1994 #276 (wording of the resolution of the Cabinet of Ministers is dated January 25, 1996, #125).
